Subject: Notice to Lock In Futures Rate



Pursuant to the terms and conditions of our existing natural gas contract,
Dixie Chemical Company, Inc. hereby exercises it's right to convert the last
four years pricing of the contract  to a fixed futures rate. The four year
fixed rate shall be as quoted today December 22, 2000, at the lower of $4.95
per mmbtu or the actual future rate at the time this agreement is actually
executed  for a quantity of 2,000 mmbtu per day.  The price for the quantity
over 2,000 mmbtu per day shall be 102% of  IFHSC index.

This e-mail notice shall serve as Dixie Chemical Company's official notice to
Enron to lock in the rate today.
